We support companies, their owners and management throughout the corporate life cycle, from incorporation and the drafting of articles of association through increases and reductions of share capital and transfers of shares to liquidation. We look after corporate records, including the preparation of general meetings and filings with the court register.
We pay particular attention to relations between shareholders and corporate bodies. We draft shareholder agreements, represent clients in corporate disputes, including actions to annul or challenge general meeting resolutions and the exclusion of shareholders, and advise members of management and supervisory bodies on their duties and liability.
